Terms of Service

Please read these terms carefully before using TrueAgri. They govern your access to and use of our platform.

1. Acceptance of Terms

By accessing or using TrueAgri ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.

These Terms apply to all visitors, users, and others who access or use the Platform, including individual farmers, farm managers, agricultural businesses, and any authorised team members.

We may update these Terms from time to time. We will notify you of any material changes by posting the new Terms on the Platform and updating the effective date. Your continued use of the Platform after such changes constitutes acceptance of the revised Terms.

2. Account Registration & Security

To use TrueAgri, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to immediately notify TrueAgri of any unauthorised use of your account or any other breach of security. TrueAgri will not be liable for any loss arising from your failure to comply with this section.

You may not share your login credentials with others. If you are an organisation, you may invite team members through the Platform’s built-in invitation system, which assigns appropriate roles and permissions.

3. Description of Services

TrueAgri provides a cloud-based farm management platform that includes, but is not limited to: geo-mapping and crop allocation, delivery note management, invoicing and financial tools, insights and reporting dashboards, and third-party integrations such as Xero.

We reserve the right to modify, suspend, or discontinue any part of the Platform at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Platform.

TrueAgri is provided on an “as is” and “as available” basis. While we strive to maintain high uptime and reliability, we do not guarantee uninterrupted or error-free service.

4. Your Data & Content

You retain ownership of all data, content, and information you upload, submit, or transmit through the Platform (“Your Data”). By using TrueAgri, you grant us a limited, non-exclusive licence to use Your Data solely to provide and improve the Platform.

We will not sell, share, or distribute Your Data to third parties except as necessary to provide the services you have requested, comply with legal obligations, or with your explicit consent.

You are responsible for ensuring that Your Data is accurate and does not infringe on the rights of any third party. You agree not to upload any content that is unlawful, harmful, threatening, abusive, or otherwise objectionable.

We implement industry-standard security measures to protect Your Data. For more information on how we handle your data, please refer to our Privacy Policy.

5. Payments & Billing

Certain features of TrueAgri require a paid subscription. By subscribing to a paid plan, you agree to pay all applicable fees as described on the Platform at the time of purchase.

All fees are quoted in South African Rand (ZAR) and are exclusive of VAT unless otherwise stated. Subscription fees are billed monthly in advance and are non-refundable except as required by applicable law.

We may change our pricing at any time. If we change pricing for your current subscription, we will provide at least 30 days’ notice before the new pricing takes effect. You may cancel your subscription before the new pricing applies.

If payment fails, we may suspend access to paid features until outstanding amounts are settled. We reserve the right to engage collection agencies for overdue accounts.

6. Acceptable Use

You agree to use TrueAgri only for lawful purposes and in accordance with these Terms. You may not use the Platform to:

  • Violate any applicable local, national, or international law or regulation
  • Infringe upon the intellectual property rights of TrueAgri or any third party
  • Transmit any malware, viruses, or other harmful code
  • Attempt to gain unauthorised access to any part of the Platform or its systems
  • Interfere with or disrupt the Platform or servers connected to the Platform
  • Use the Platform for any fraudulent or deceptive purpose
  • Scrape, data-mine, or otherwise extract data from the Platform through automated means

7. Intellectual Property

The Platform, including its design, features, functionality, code, trademarks, logos, and content created by TrueAgri, is the exclusive property of TrueAgri and is protected by South African and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform in accordance with these Terms. This licence does not include the right to copy, modify, distribute, sell, or lease any part of the Platform.

8. Termination

You may terminate your account at any time by contacting us or through the Platform’s account settings. Upon termination, your right to use the Platform will cease immediately.

We may suspend or terminate your access to the Platform at any time, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, we will retain Your Data for a period of 30 days, during which you may request an export of your data. After this period, we may permanently delete Your Data from our systems.

9. Limitation of Liability

To the maximum extent permitted by South African law, TrueAgri shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses.

Our total liability for any claim arising from or relating to these Terms or the Platform shall not exceed the amount you paid to TrueAgri in the twelve (12) months preceding the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for gross negligence or wilful misconduct.

10. Indemnification

You agree to indemnify, defend, and hold harmless TrueAgri, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of the Platform or your breach of these Terms.

11. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Platform shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved within 30 days, it shall be submitted to mediation in Cape Town, South Africa.

If mediation fails, the dispute shall be resolved by the courts of the Republic of South Africa, and you consent to the jurisdiction of such courts.
